These Terms of Service ("Terms") are an agreement between RINGHOUSE LTD ("Ringhouse", "we", "us"), a private limited company registered in Ghana (company number CS216180925), and the business or person that creates an account or uses our services ("you").
They cover ringhouse.ai, the Ringhouse app at app.ringhouse.ai, our mobile and desktop apps, and the phone numbers, calling, text messaging, shared inbox and AI receptionist features we provide (together, the "Services"). By creating an account or using the Services you agree to these Terms. If you accept them for a business, you confirm you have authority to bind it.
Your account
- You must be at least 18 and use the Services for business purposes.
- Give us accurate information, including the business details carriers and regulators require before a number can be used, and keep it up to date.
- Keep your login details secure. You are responsible for everything done under your account, including by the teammates you invite.
- Tell us straight away at samuel@ringhouse.ai if you think your account has been used without permission.
Text messaging (SMS)
Program name: Ringhouse.
What we send. The Ringhouse text messaging program sends:
- account notifications, such as alerts about missed calls, voicemails, new messages, billing and security;
- verification codes, when you sign in or confirm a phone number; and
- conversational messages between businesses on Ringhouse and their customers, sent and received through a business's Ringhouse phone number.
Opting in. You receive account notifications and verification codes after you give us your mobile number and agree to receive them. You receive conversational messages from a business on Ringhouse after you have given that business your consent, for example by texting it first or by giving it your number and agreeing to be contacted.
Message frequency varies. Message and data rates may apply.
Opting out and help. Reply STOP to opt out, HELP for help. After you reply STOP you will receive one message confirming you have been unsubscribed and no further messages from that number, unless you opt in again. Replying STOP to a business's number stops messages from that business's number only. For support, email samuel@ringhouse.ai.
Carriers are not liable for delayed or undelivered messages.

Acceptable use
You must use the Services lawfully and must not:
- send spam or unsolicited messages, or make unsolicited or automated calls, to anyone who has not consented to receive them;
- send messages or make calls without first obtaining any consent the law requires from the recipient, or keep contacting anyone who has opted out;
- break the US Telephone Consumer Protection Act (TCPA), the CTIA Messaging Principles and Best Practices, carrier rules (including A2P 10DLC requirements), or the equivalent laws and rules anywhere you call or text;
- send content that is illegal, fraudulent, deceptive, harassing, hateful or sexually explicit, or that promotes content carriers prohibit;
- spoof caller ID, hide your identity, or impersonate anyone;
- use the Services for emergency calling as your only means of reaching emergency services;
- probe, overload or break the Services, access other customers' data, or resell the Services without our written permission.
We may suspend or block calls, messages or numbers that we reasonably believe break these rules or that a carrier asks us to stop.
Your customers and their consent
When you call or text your own customers and contacts through Ringhouse, you are the sender and you are responsible for those communications. You must:
- obtain and keep records of every consent the law and carrier rules require before you text or call someone, and show us those records if we or a carrier ask;
- identify your business in your messages and honour opt-out requests (including STOP replies) promptly;
- tell your customers, where the law requires, that calls may be recorded, transcribed or answered by an AI receptionist, and obtain any consent needed for this;
- have a lawful basis, and give any privacy notice required, for the personal information you put into Ringhouse.
You are responsible for any claims, fines or carrier penalties that result from your failure to do these things.
Your content
You keep ownership of the calls, messages, recordings, contacts and other content you and your customers put into Ringhouse ("Your Content"). You give us permission to host, process, transmit and display Your Content only as needed to provide, secure and support the Services. Our Privacy Policy explains how we handle personal information.
Phone numbers
Numbers are assigned to you by us or our carrier partners for as long as your account is active and paid for. You do not own them, but where carriers and regulators allow it, you can port a number out to another provider. If your account is closed or unpaid, numbers may be released after a notice period.
Fees and payment
- You agree to pay the fees for your plan and any usage, such as calling minutes, text messages and AI receptionist time, at the prices shown when you buy or in the app.
- Subscriptions renew automatically at the end of each billing period until you cancel. Cancelling stops the next renewal.
- Fees are charged to your payment method and, unless stated otherwise or required by law, are non-refundable.
- Prices exclude taxes, which you pay where they apply.
- If a payment fails, we may suspend the Services until it is paid.
- We may change prices by giving you at least 30 days' notice. The new price applies from your next billing period.
Our service
We work to keep Ringhouse available and reliable, but calls and messages depend on carriers, networks and devices we do not control. We may change, add or remove features. If we remove a feature you pay for in a way that materially reduces the Services, we will tell you in advance.
The AI receptionist and AI summaries can make mistakes. Check anything important before you rely on it.
Emergency calls. Ringhouse is not a replacement for a traditional phone line for emergency calls. Emergency calling may not be available, or may not pass on your location correctly, and it can fail during power or internet outages. Always keep another way to reach emergency services.
Suspension and termination
You can close your account at any time from the app or by emailing us. We may suspend or close your account if you break these Terms, fail to pay, create a risk to the Services, other users or our carrier partners, or if the law or a carrier requires it. Where it is reasonable, we will tell you first and give you a chance to fix the problem.
After your account closes, you can ask us to export Your Content within 30 days. After that we may delete it, as described in our Privacy Policy. Sections that by their nature should survive termination, including fees owed, disclaimers, limitation of liability and governing law, continue to apply.
Disclaimers
To the extent the law allows, the Services are provided "as is" and "as available". We do not promise that they will be uninterrupted, error-free or that every call or message will be connected or delivered, and we disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the extent the law allows:
- neither party is liable for any indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill;
- our total liability arising out of or relating to these Terms or the Services in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.
Indemnity
You will defend and indemnify Ringhouse against claims, fines and costs brought by third parties, carriers or regulators that arise from Your Content, your messages and calls, or your breach of these Terms or the law.
Governing law
These Terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have exclusive jurisdiction over any dispute arising from them, unless the law where you are based gives you a right to bring a claim in your local courts.
Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date and, if the changes are significant, tell account owners by email or in the app at least 30 days before they take effect. If you keep using the Services after that, you accept the updated Terms.
General
These Terms, together with our Privacy Policy and any order or plan terms you agree to, are the whole agreement between us about the Services. If any part is found unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale of our business.
